ABOUT THE JOB

The role as Corporate Paralegal is a key partner to the business. The Corporate Paralegal will, with limited supervision, manage the state and local corporate filings and support the corporate governance of a privately held company with operations in 43 (and growing) states. The Corporate Paralegal will also take a lead role (with attorney support) in reviewing and negotiating non-disclosure agreements, data sharing agreements and business associate agreements, and assist with legal operations.

ESSENTIAL DUTIES & RESPONSIBILITIES

  • Assist with corporate governance activities, including drafting, updating, managing and submitting corporate filings with state and local regulatory bodies, and maintaining the corporate organizational chart.
  • Partner with members of the contracts team to draft, review, assess, and edit a variety of legal documents, including simple agreements, legal correspondence, NDAs, BAAs, and data sharing agreements. Assist with the management of contract templates.
  • Assist with and respond to teammate questions regarding contract terms and other legal questions.
  • Support legal operations processes, including knowledge management processes.
  • Other duties as assigned.

QUALIFICATIONS

Bachelor's degree and a minimum of 4 years’ corporate paralegal experience at a law firm and/or in-house experience managing corporate and regulatory filings or equivalent combination of education and experience.

DESIRED ATTRIBUTES

  • Advanced Microsoft Office (Word, Excel, Outlook and SharePoint) and Adobe Acrobat skills; Knowledge of Salesforce and DocuSign CLM preferred.
  • Outstanding written and verbal communication abilities.
  • Keen attention to detail, ability to problem-solve and respond quickly and thoughtfully to shifting priorities in a complex business environment.
  • Demonstrated ability to build and maintain relationships across departments and with external vendors, partners and collaborators.
  • Excellent organizational and project management abilities.
  • Interest in healthcare and a commitment to Marathon’s mission.

Pay Range: $75,000 - $95,000/yr

The actual offer may vary dependent upon geographic location and the candidate’s years of experience and/or skill level.
