Paralegal, Corporate Governance and Compliance
Responsibilities:
- Maintain corporate governance files for EMEA subsidiaries, and other ex-US subsidiaries as applicable, including maintaining subsidiary database, corporate records and filing calendar, coordinating and completing required periodic filings, managing corporate reorganization projects, facilitating changes in organizational documents and subsidiary D&O slates, coordinating notary/apostille requirements.
- Assist with shareholder/director meetings and record keeping, including maintaining the minute book, and preparation of meeting materials.
- Assist with client RFP responses, including designing and implementing a workflow for such requests.
- Provide timely and efficient support to compliance and risk management functions overseen by the Legal department.
- Facilitate activities related to the tracking and reporting of key compliance and risk metrics, including requesting data and other inputs from business partners.
- Provide administrative support for internal investigations, including conducting a high-level review and triage of investigations, scheduling interviews, and assisting with gathering supporting documents.
- Assist with revising and implementing corporate compliance policies, procedures, training, and communications to improve operational efficiency and mitigate risk.
- Assist in implementation, administration, oversight, and maintenance of contract lifecycle management system for corporate contracts.
- Maintain legal filing system (contracts, forms).
- Handle special projects as requested.
Required Qualifications:
- 7+ years corporate paralegal experience; mix of large law firm and in-house experience preferred.
- Associates degree or higher; paralegal certification preferred.
- Highly organized, responsible, and able to exercise independent judgment to prioritize competing demands and complete work timely and professionally.
- Team-oriented and collaborative approach.
- Effective written and verbal communications, with a high level of professionalism in all interactions and correspondence.
- Self-motivated and proactive with a strong sense of ownership to complete tasks in areas of responsibility.
- Demonstrated ability to learn new skills and technology, willingness to ask questions and be resourceful to accomplish work objectives.
- Proficient with Microsoft Office (Word, Outlook, Excel, PowerPoint, Visio), Lucidchart, Adobe Professional, DocuSign, SharePoint.
- Prior experience with cloud-based subsidiary management platforms and/or CLM platforms a plus
